Clients agree to:
- Provide timely, complete, and accurate information necessary for payroll processing
- Notify us promptly of any changes to employee details, contracts, or financial information
- Ensure that submitted timesheets, hours, and payroll data are correct
- Comply with all payment obligations outlined in their Service Agreement
StratexPS is not responsible for errors caused by incorrect or late information provided by the client.
5. Fees & Payment
- Service fees will be outlined in your Service Agreement or contract.
- Invoices must be paid according to the payment terms stated (typically 14 or 30 days).
- Late payments may incur interest or lead to service suspension.
- Prices may be reviewed annually, with notice provided to the client.
StratexPS reserves the right to suspend services if payment is not received.
6. Confidentiality
We treat all client information as strictly confidential.
Both StratexPS and the client agree to:
- Keep all sensitive information private
- Not disclose confidential information to third parties unless legally required or with written consent
Confidentiality remains in effect even after termination of services.
7. Data Protection & Privacy
StratexPS complies with the UK GDPR and the Data Protection Act 2018.

Clients must also ensure that any data they provide has been collected lawfully from employees, contractors, or workers.
8. Liability
StratexPS is not liable for:
- Losses arising from incorrect or late information supplied by the client
- Business interruption, loss of profits, or indirect damages
- Errors caused by third-party software, platforms, or HMRC system failures
Our total liability is limited to the value of the services provided in the 12 months preceding any claim.
Nothing in these Terms excludes liability for fraud or anything that cannot legally be limited under UK law.
9. Service Availability
We aim to provide uninterrupted service, but we cannot guarantee continuous, error-free operation due to:
- System maintenance
- Third-party software issues
- External service interruptions
- Circumstances beyond our control
We will always attempt to resolve issues as quickly as possible.
10. Termination of Services
Either party may terminate the service with written notice in accordance with the signed Service Agreement.
We reserve the right to terminate services immediately if:
- Payment obligations are not met
- The client breaches these Terms & Conditions
- Illegal or unethical activity is detected
Upon termination, all outstanding fees must be paid in full.
11. Intellectual Property
All content on the StratexPS website—including text, graphics, branding, and materials—remains the intellectual property of StratexPS unless otherwise stated.
Clients may not copy, reproduce, or distribute any material without prior written consent.
12. Changes to These Terms
StratexPS may update these Terms & Conditions at any time.
Revised versions will be published on our website with a new “Last Updated” date.
Clients are encouraged to review these terms periodically.
13. Governing Law
These Terms & Conditions are governed by the laws of England and Wales.
Any disputes will be handled exclusively in the courts of England and Wales.
